Sammanfattning: Abstract Title Styrelseproffs – En fördjupad studie Seminar date 13th of January, 2012 Course FEKH95, Business Administration, Degree Project, Undergraduate level, 15 ECTS Authors Paula Petersson, Michaela Tredal, and Erika Waldetoft Advisor Claes Svensson Key words Styrelseproffs (Board Professionals), board members, board work, independent board members, profession, characteristics, contribution Purpose The theoretical aim of this paper is to construct a theoretical framework as a basis for an in-depth study of the board professionals and their characteristics and contributions to its work in boards. The empirical aim of this paper is to investigate what is specific and characteristic of a board professional in terms of characters and contributions, and second, whether a board professional is professional in its work in boards and thus that constitutes a profession. Methodology The paper is based on a qualitative method with an abductive research approach. The primary data is collected through semi-structured interviews with board professionals. The secondary data is used in the form of legal- and normative writings. Theory The theoretical chapter presents the most relevant parts of the corporate governance system and the basic theories in corporate governance. These together form the basic of the theoretical framework. In conclusion of the theoretical chapter is given a presentation of the professional theory. Empirical foundations The empirical data is based on five case studies with board professionals. The results are presented based on the constructed theoretical framework and shows the board professionals specific characters and their contributions to boards. Conclusion The empirical results show that the constructed theoretical framework needs to be revised to be applicable on board professionals.
